Default Contract Question Advice

I a having an issue with a client. I used the Agent theme to build a custom real estate solution for a client. The website also uses the Gravity Forms Plugin (single license)

3/4 through the project, my client decides he does not have the money to continue paying for my services, and requests to have the website mailed to him on a CD because he found a college class that is willing to finish the project.

I am hesitant because I just do not want to hand over a copy of the Agent theme to someone who is giving out free services and probably has no idea about Studiopress or even Wordpress for that matter.

I guess my question here is; When developers make up contracts with a Studiopress solution in mind, should the customer own the code, or should it be proprietary? And what would you do in my current situation?
